Activia Properties Inc. (TSE:3279) agreed to acquire A-Flag Kita Shinsaibashi and Commercial Mall Hakata from Cosmos Corporation for ?10.8 billion on November 28, 2017. A -Flag Kita Shinsaibashi will be acquired for ?4.7 billion and Commercial Mall Hakata will be acquired for ?6.1 billion. The payment of consideration will be settled on closing. In related transactions, Activia Properties Inc. agreed to acquire DECKS Tokyo Beach from Tokyu Land Corporation for ?12.7 billion. The consideration will be funded from the net proceeds from ?1.1 billion worth of investment units issuance through the domestic primary offering, the international offering, the third-party allotment and own funds of Activia Properties. For the year ended September 30, 2017, A-Flag Kita Shinsaibashi reported rental revenue of ?192 million and Commercial Mall Hakata reported rental revenue of ?351 million. The Board of Activia Properties Inc. approved the deal. A sales contract is expected to be signed on November 28, 2017. It is expected that A-Flag Kita Shinsaibashi will be acquired on December 1, 2017 and Commercial Mall Hakata will be acquired on January 5, 2018. Sumitomo Mitsui Trust Bank, Limited and Mitsubishi UFJ Trust and Banking Corporation acted as a trustees in the transaction. Japan Valuers Co., Ltd. acted as an appraiser in the transaction. Activia Properties Inc. (TSE:3279) completed the acquisition of A-Flag Kita Shinsaibashi and Commercial Mall Hakata from Cosmos Corporation on January 5, 2018. A-Flag Kita Shinsaibashi was acquired on December 1, 2017.
