Activia Properties Inc. (TSE:3279) entered into an agreement to acquire 49% stake in Trust Beneficiary Interest In DECKS Tokyo Beach from Tokyu Land Corporation for ¥12.7 billion on November 28, 2017. In a related transaction, Activia Properties Inc. agreed to acquire A-Flag Kita Shinsaibashi and Commercial Mall Hakata from Tokyu Land Corporation for ¥4.7 billion and ¥6.1 billion on November 28, 2017. As of December 6, 2017, a resolution was passed by the Activia Properties Inc. Board of Directors meeting concerning the offer price and the distribution price for the issuance of new investment units and the secondary offering of investment units. As of December 22, 2018, the issuance of new investment units and the secondary offering of investment units has been completed. As of December 25, 2018, Activia Properties Inc. decided to borrow funds to pay part of purchase price of Trust Beneficiary Interest In DECKS Tokyo Beach and Commercial Mall Hakata. The transaction will be funded through net proceeds from the issuance of new investment units through the domestic primary offering, the international offering and the third-party allotment. The consideration shall be payable upon completion. As of September 30, 2017, DECKS Tokyo Beach had reported annual rent of ¥657 million. The Board of Directors of Activia Properties Inc. approved the transaction on November 28, 2017. The transaction is expected to complete on January 5, 2018. Morii Appraisal & Investment Consulting, Inc. acted as appraisal agency. Sumitomo Mitsui Trust Bank, Limited acted as trustee in the transaction. Activia Properties Inc.
