NOTICE TO THE MARKET

Belo Horizonte, January 06, 2019 - MRV ENGENHARIA E PARTICIPAÇÕES S.A. ("Company"or "MRV"), pursuant to article 157, paragraph 4, of Law No. 6,404, dated as of December 15, 1976, as amended and the Regulation CVM No. 358/02, in addition to the material facts disclosed by the Company on September 3, 4, and 16, and October 1, and 22, November 21 and December 26, 2019, hereby informs the following to its shareholders and the market in general.

On the date hereof, the Company received a letter from Dynamo Administração de Recursos Ltda. (CNPJ 72.116.353/0001-62) and Dynamo International Gestão de Recursos Ltda. (CNPJ 07.880.927/0001-02) (hereinafter jointly defined as "Dynamo") stating that, as relevant shareholders of the Company and in consideration of the stance taken by the management of the Company to revisit the proposal initially presented to the market for the investment in AHS Residential, LLC, in order to eliminate potential conflicts of interest related to the preliminary proposal, as well as to propose the amendment to the Bylaws of the Company seeking to improve its corporate governance, the voting of the shares issued by the Company under the management of Dynamo will be directed to approve the matters of the agenda of the Extraordinary General Meeting to be held on January 31, 2020, in accordance with the call notice issued by Company on December 26, 2019.
