COMUNICAZIONE DI APERTURA E DI SOSPENSIONE TEMPORANEA DELL'OTTAVO

PERIODO DI ESERCIZIO DEI "Warrant ELES 2019-2024"

Todi (PG), 30 maggio 2023 - ELES Semiconductor Equipment S.p.A., società quotata su Euronext Growth Milan e fornitore mondiale di soluzioni per il test dei dispositivi a semiconduttore (IC Integrated Circuits) con applicazioni Automotive e Mission Critical (la "Società "), comunica che dal 1° giugno 2023 si aprirà l'ottavo periodo di esercizio dei "Warrant Eles 2019-2024" codice ISIN IT0005374258 (i "Warrant" e il "Periodo di Esercizio").

Tuttavia, essendo stata convocata l'assemblea dei soci in prima convocazione per il giorno 14 giugno 2023 e, occorrendo, in seconda convocazione per il giorno 15 giugno 2023, ai sensi del Regolamento dei "Warrant ELES 2019-2024", l'esercizio dei warrant è sospeso dal giorno successivo (incluso) alla data in cui il Consiglio di Amministrazione della Società ha deliberato di convocare l'assemblea (i.e. 11 maggio 2023) sino al giorno (incluso) in cui l'assemblea dei soci avrà luogo, anche in convocazione successiva alla prima. Resta in ogni caso fermo che le richieste di esercizio presentate durante la sospensione del Periodo di Esercizio sono valide ed assumeranno effetto dal primo giorno successivo alla sospensione del Periodo di Esercizio.

Di conseguenza, i portatori di Warrant potranno esercitare il proprio diritto in qualunque momento a decorrere dal 1° giugno 2023 al 30 giugno 2023 ma, qualora tale diritto venisse esercitato durante il periodo di sospensione, le richieste di esercizio presentate saranno valide ed assumeranno effetto dal primo giorno successivo alla sospensione del Periodo di Esercizio, ossia il 15 o, eventualmente, qualora l'assemblea dovesse tenersi in seconda convocazione, il 16 giugno 2023.

Si specifica inoltre che, con riferimento all'ottavo periodo di esercizio, il prezzo di esercizio dei Warrant è pari ad Euro 2,15 per ciascuna Azione di Compendio sottoscritta. Le Azioni di Compendio avranno godimento pari a quello delle azioni ordinarie negoziate su Euronext Growth Milan alla data di emissione delle Azioni di Compendio.

Nel caso in cui all'atto dell'esercizio dei Warrant spettasse un numero non intero di Azioni di Compendio, il portatore dei Warrant avrà diritto di ricevere Azioni di Compendio fino alla concorrenza del numero intero immediatamente inferiore e non potrà far valere alcun diritto con riferimento alla parte frazionaria eccedente.

Il prezzo di sottoscrizione delle Azioni di Compendio dovrà essere integralmente versato all'atto della presentazione delle richieste di esercizio, senza aggravio di commissioni e dispese a carico dei richiedenti. Le Azioni di Compendio sottoscritte dai titolari di Warrant durante il Periodo di Esercizio saranno rese disponibili per la negoziazione, per il tramite di Monte Titoli S.p.A., il giorno di liquidazione successivo al termine

dell'ultimo giorno del Periodo di Esercizio. Resta inteso che, qualora i titolari dei Warrant non richiedano di sottoscrivere le Azioni di Compendio entro il termine finale del Periodo di Esercizio, essi perderanno il relativo diritto per il Periodo di Esercizio, fatta salva nuovamente la facoltà di esercitare i Warrant in ognuno dei successivi periodi di esercizio.

NOTICE OF OPENING AND TEMPORARY SUSPENSION OF THE EIGHTH PERIOD OF

EXERCISE OF "ELES Warrants 2019-2024"

Todi, May 30, 2023 - ELES Semiconductor Equipment S.p.A., a company listed on Euronext Growth Milan and worldwide supplier of solutions for the testing of semiconductor devices (IC Integrated Circuits) with Automotive and Mission Critical applications (the "Company"), announces that as of 1 June 2023 the eighth exercise period of the "Eles Warrants 2019-2024" ISIN code IT0005374258 (the "Warrants" and the "Exercise Period") will open.

However, given that the shareholders' meeting has been convened on first call for 14 June 2023 and, if necessary, on second call for 15 June 2023, pursuant to the "ELES Warrants 2019-2024" Regulation, the exercise of the warrants is suspended from the day after (and including) the date on which the Company's Board of Directors resolved to convene the meeting (i.e. 11 May 2023) until the day (and including) on which the shareholders' meeting is held, even if convened on a subsequent call. In any case, it remains understood that the exercise requests submitted during the suspension of the Exercise Period are valid and will take effect from the first day following the suspension of the Exercise Period.

As a result, Warrant Holders may exercise their right at any time from 1 June 2023 to 30 June 2023, but if this right is exercised during the suspension period, the exercise requests submitted will be valid and will take effect from the first day following the suspension of the Exercise Period, i.e. on the 15th or, if the Shareholders' Meeting is held on second call, on 16 June 2023.

It is also specified that, with reference to the eighth exercise period, the exercise price of the Warrants is Euro 2.15 for each Conversion Share subscribed. The Conversion Shares will have the same rights as the ordinary shares traded on Euronext Growth Milan on the date of issue of the Conversion Shares.

In the event that a non-whole number of Conversion Shares is due upon exercise of the Warrants, the holder of the Warrants shall have the right to receive Conversion Shares up to the amount of the next lower whole number and shall not have any right with respect to the fractional portion in excess.

The subscription price of the Conversion Shares shall be paid in full at the time of the submission of the exercise requests, without any additional fees and charges to be paid by the applicants. Conversion Shares subscribed by Warrant holders during the Exercise Period will be made available for trading, through Monte Titoli S.p.A., on the settlement day following the end of the last day of the Exercise Period. It is understood that, if the Warrant holders do not request to subscribe the Conversion Shares by the final deadline of the Exercise Period, they will lose the relevant right for the Exercise Period, without prejudice to the right to exercise the Warrants again in each of the subsequent exercise periods.
