Jugopetrol Podgorica : Information on approval of legal transactions with related parties

Pursuant to Article 37 paragraph 4 of the Companies Law ("Official Gazette of Montenegro" No. 65/20, 146/21, and 4/24) and Article 41 of JUGOPETROL AD Articles of Association, the Board of Directors at its meeting held on 24 April 2024 adopted the following:

INFORMATION

to the General Meeting relating to the approval of legal transactions with related parties

I. The Board of Directors approved transactions with related parties in accordance with Article 37 paragraph 1 item 4 of the Companies Law, as follows:

1. On its session held on 28 February 2024 approved the following transactions with related parties for 2024:
2. • Supply of oil products, with Hellenic Petroleum R.S.S.O.P.P. S.A.;
   • Purchase of lubricants with EKO ABEE;
   • Provision of IT services with HelleniQ Energy Digital Single Member S.A. (formerly
     HELPE DIGITAL);
   • Provision of business-related consulting services, HelleniQ Energy Consulting S.A (formerly ELPE International Consulting S.A.).
   • Provision of marketing-related consulting services by Jugopetrol AD to HELLENiQ ENERGY Group.
3. On its session held on 13 December 2023 approved the following transactions with related parties:

• Provision of Technical Support Services, with ASPROFOS,
• Sale of fuel, with EKO SERBIA AD,
• Purchase of EV Chargers, with HELLENIC PETROLEUM PROVISION OF ELECTROMOBILITY SERVICES SINGLE MEMBER SOCIETE ANONYME.

1. On its session held on 21 December 2023 approved the following transaction with related parties:

• Sale of oil products, with OKTA AD Skopje

II. The Board of Directors approved the transactions listed above and provides this information to the General Meeting as required by Article 37 paragraph 4 of the Companies Law.
