Important event to report: the status of the implementation of the decisions of the Extraordinary General Meeting of Shareholders on 08.04.2024.
The company informs that on 17.06.2024, in accordance with the Decision of the Extraordinary General Meeting of Shareholders on 08.04.2024, an auction was held for the transfer of the hotel and tourist activity of Casa de Bucovina - Club de Munte S.A.
Following the auction procedures, the transfer of the hotel and tourism activity of the company was awarded at the price of 3,000,000 euros, exclusive of taxes (without VAT). Within 15 days from the date of the auction, respectively until 02.07.2024, the contract for the transfer of the activity is to be signed, with the full payment of the transfer price expected to be made no later than 65 days from the date of the auction, respectively until 21.08.2024. The actual transfer of the company's hotel and tourist activity is expected to take place after the date of full payment of the transfer price by the successful bidder, and the transfer of ownership of the goods that contribute to the realization of the transferred activity will be made on the date of full payment of the transfer price.
The company will publish the information regarding the actual transfer of the hotel and tourist activity in accordance with the legal provisions.

Casa de Bucovina Club de Munte SA is a Romania-based company engaged in the tourism sector. The Company is primarily involved in the operation of the hotel Best Western Bucovina - Club de Munte, which offers 130 rooms, two restaurants, a lobby bar and five conference rooms, as well as various facilities and services, including cable television, wireless Internet connection, mini-bars, hairdryers, irons and ironing boards, and a fitness room, among others. The Company also operates two restaurants, Casa de Bucovina and Casa cu pridvor, with a total capacity of 280 seats, and a lobby bar. As of December 31, 2011, SIF Muntenia SA held a 66.87% stake in the Company.
