Multilateral refinancing agreement (MRFA)

  • Necessary after a breach of contractually agreed Group financial covenants with the banks was imminent as at December 31, 2023 (equity ratio, net debt / EBITDA ratio)
  • Negotiations started before balance sheet date and successfully concluded in March 2024
  • MRFA valid until November 2025, provides positive support for further turnaround activities
  • All relevant financing instruments were thus extended in the same way
  • Suspension of dividends for the period of validity had to be conceded
  • Capital increase in order to strengthen the equity base of the AG and the Group in the long term and thus enable further growth, approved by the 32nd Annual General Meeting on May 14, 2024
  • MRFA is to be replaced by new financing agreements after the capital increase

Q1 2024 FINANCIAL FIGURES

Highlights 1-3/2024

  • The Rosenbauer Group generated revenues of € 225.6 million in the first three months of 2024, which is 17.7% above the comparable period of the previous year.
    • The reasons for this were a larger number of vehicle deliveries, which by itself increased by 12.7%, and higher business volumes with equipment and customer service
    • Specifically, the Europe area, the Americas area and Preventive Fire Protection increased their revenues
  • Despite negative one-off effects the substantial increase of gross profit enabled a positive operating result in the first quarter for the first time in two years
    • € 2.3 million special expenses for the departure of a member of the Management Board and the realization of a new banking agreement
    • EBITDA amounted to € 7.6 million, EBIT to € 0.3 million
  • Net debt increases to € 492.8 million as for the high working capital requirement and increased financing costs.
  • Very strong order intake of € 362.4 million significantly above quarterly revenues
